General Meeting of members of the Federation is the supreme governing body of the Federation. Federation General Meeting is held at least once every 1 (one) year. The General Meeting of the Federation is chaired by President of the Federation.

Calling of Special General Meeting of the Federation is on request of more than 60 percent of the members of the Federation, the Board of the Federation, the Audit Committee of the Federation, by the decision of the Board of the Federation.

Date, place and agenda of the General Meeting of the Federation is informed to the members of the Federation for 20 (twenty) days prior to their commencement in writing form by registered mail, facsimile, telegraph, e-mail or information posted on the Federation web-site.

All proposals for the agenda of the General Meeting of the Federation must be sent to the Board of the Federation not later than 10 (ten) days before the General Meeting of the Federation. The decision to include on the agenda is taken by the Board of Federation. General Meeting of the Federation considers only issues submitted on time and on the agenda.

General Meeting of the Federation in extreme cases, make decisions about inclusion in the agenda and consider questions submitted after the above period, provided if they were submitted by at least 60 (sixty) percent of votes by the Federation members who take part or are represented at the General Meeting of the Federation.

General Meetings of the Federation are considered competent if attended by delegates of the Federation, who have not less than 60 (sixty) percent of the votes totally. Each Federation delegate has one vote. Members of the Federation may participate in the General Meeting of Federation, through their delegates. A decision on quotas for delegate participation and decision making at the General Meeting of Federation is adopted by the Board of Federation.

The collective members of the Federation are participating in the General Meeting of the Federation, through their representative.

The competence of the General Meeting of the Federation is to resolve any questions of statutory activity of the Federation. General Meeting of the Federation may delegate the Board its rights and authority to resolve all issues except matters within their exclusive competence. Principles and rules for consideration by the Board of the Federation and the adoption of its decisions should not differ from the principles and rules established for the General Meeting of the Federation.

The exclusive competence of the General Meeting of the Federation includes the following questions:

• Identifying key areas of statutory activities of the Federation;
• Approval of cooperation agreements with other federations, associations, etc.;
• Approval of the Federation Charter and the amendment thereto;
• Election of the President of the Federation;
• Election of Vice-President of the Federation;
• Election of members of the Board of Federation;
• Appointing and dismissing members of the Audit Committee of the Federation;
• Appointing and dismissing members of the Management of Federation;
• Approval of reports of the President and the Audit Committee of Federation on activities in the current year;
• Accusations and decision making of mistrust to President and the Board of Federation;
• Realization of property rights of the Federation;
• The creation, approval of the Rules and Regulations, the termination of the Arbitration Court at the Federation;
• Making decisions on the termination of the Federation.

The decision of the General Meeting of Federation is considered adopted if it is given 3/4 votes of present Federation delegates.

The work of the General Meeting of Federation, the voting results and decisions reflected in the minutes. Minutes of General Meeting of the Federation shall be signed by the President of the Federation and secretary of the General Meeting of Federation, elected by the General Meeting of the Federation for taking minutes.

Conservation of the proceedings of the General Meetings of Federation is made by the Federation Management.

Decisions adopted at the General Meeting of Federation shall take effect upon their adoption, unless otherwise specified in their decision.

Federation statutory bodies are elected for four years and preside until their re-election or recall.

• The Audit Committee of the Federation – the body, which performs financial control;
• Operation Management of the Federation – executive body of the Federation, regular staff, who performs statutory tasks of the Federation, resolutions of the General Meeting and the Board.

The purpose, goals and objectives of the Federation

The main purpose of the Federation is to assist its members in protecting the legitimate social, economic, creative, national, cultural and other rights and interests of members of the Federation.

The main tasks of the Federation are:

• Кepresent the interests of the Federation members in central and local government bodies;
• Protection of interests of members of the Federation;
• Providing information and consulting members of the Federation;
• Cooperation with government authorities on matters of policy in the field of franchising, hospitality and infrastructure of small and medium-sized businesses;
• Development and introduction of proposals to improve the legislative framework in the field of franchising, hospitality, infrastructure and business activity in general;
• Social protection of members of the Federation;
• Publication of printed editions of Federation;
• Help train specialists in the field of franchising, hospitality and infrastructure;
• Creation of educational institutions for training and retraining of specialists in the field of franchising, hospitality and infrastructure;
• Creation and maintenance of the arbitral tribunal.

To achieve its objectives and main tasks in a lawful manner Federation:

• Supports international relations, makes the necessary international agreements and participates in activities which are not contrary to international law;
• Participates in the organization of fairs, exhibitions, lectures, seminars, symposia, conferences, forums, congresses etc.;
• Conducts the independent public opinion polls on issues important for the development of franchising, hospitality and infrastructure, participates in shaping public opinion through appearances in the media, lecture propaganda and other means not prohibited by law;
• Cooperates with government agencies and community organizations, may enter into alliances of NGOs, receives from the state authorities, local authorities and businesses and individuals the information and material assistance necessary to implement its goals and objectives;
• Make legislative initiatives and other proposals to the authorities and administration;
• Carry out other activities that do not contradict Ukrainian legislation and the statutory purposes of the Federation.
